Corporate Finance: Structured Mezzanine Financing
Fitzgerald & Hewes represented a Palo Alto-based specialty finance company in negotiating its Senior Loan and Security Agreement with to a venture-backed technology startup company. In addition to the secured loan, F&H negotiated a warrant to buy securities in the startup company, and prepared and filed UCC and USPTO financing statements.
Corporate and Corporate Finance: Incorporation and Initial Capitalization
Fitzgerald & Hewes incorporated a Chicago-based technology risk management startup in Delaware. F&H prepared the articles of incorporation, by-laws, board minutes and the Illinois qualification to do business. In addition, we prepared the company’s restricted stock and option plan, Series A Preferred Stock Offering and federal and state securities filings.
Corporate Finance: Negotiation of Credit Line
Fitzgerald & Hewes negotiated loan documents to renew a line of credit for a technology value-added reseller. F&H also updated the reseller’s corporate minute book and provided an opinion of counsel to the lender in connection with the loan.
Employment Law: Human Resource Policies
Fitzgerald & Hewes assisted a Chicago-based independent technology equipment management company in developing its human resources policies and employee manual.
Transactional: Standard Distribution Agreement
Fitzgerald & Hewes drafted and negotiated a standard distribution agreement for a graphics card manufacturer for sales of products on a global basis. The distribution agreement documented the company’s relationship with several international distributors of its products.
Dispute Management: Employee Settlement
Fitzgerald & Hewes assisted an Atlanta based company in the negotiations and settlement of a dispute with a former Employee. The settlement avoided further litigation for the client.
